These Terms of Service (“Terms”) govern your access to and use of HelioPay, including our payment terminal, online shop tools, checkout pages, merchant tools, related websites, software, and services collectively referred to as the “Service.”

By accessing or using HelioPay, creating an account, making a payment, operating a shop, or otherwise using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. About HelioPay

HelioPay provides tools that allow users, merchants, sellers, and businesses to create payment terminals, accept payments, manage online shop listings, process customer orders, and access related commerce features.

HelioPay is not a bank. Payment processing may be provided through third-party payment processors, card networks, financial institutions, wallet providers, or other payment partners. Your use of those payment methods may also be subject to separate terms from those providers.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use HelioPay as a merchant, seller, or account holder.

By using the Service, you represent that:

  • You are legally able to enter into these Terms.
  • You will provide accurate, current, and complete information.
  • You will use the Service only for lawful purposes.
  • You are not prohibited from using the Service under applicable law, sanctions rules, payment network rules, or third-party processor requirements.

If you use HelioPay on behalf of a company, organization, or business, you represent that you have authority to bind that entity to these Terms.

3. Accounts and Security

You may need to create an account to access certain HelioPay features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify HelioPay immediately at [email protected] if you believe your account has been compromised, accessed without authorization, or used fraudulently.

HelioPay is not responsible for losses resulting from your failure to secure your account, devices, passwords, email, API keys, payment credentials, or administrative access.

4. Merchant Responsibilities

If you use HelioPay to sell goods or services, you are responsible for your shop, listings, products, services, order fulfillment, customer communications, refund policies, legal compliance, taxes, and customer support.

You agree that you will:

  • Accurately describe your products and services.
  • Clearly disclose pricing, fees, delivery timelines, refund terms, and any material conditions before purchase.
  • Fulfill orders in a timely and professional manner.
  • Comply with all applicable laws, regulations, tax requirements, consumer protection laws, privacy laws, and payment network rules.
  • Not misrepresent your identity, business, products, services, or relationship with HelioPay.
  • Not use HelioPay for fraudulent, deceptive, abusive, or illegal activity.

5. Customer Purchases

When a customer makes a purchase through HelioPay, the customer agrees to provide accurate payment, billing, contact, and delivery information.

Customers are responsible for reviewing all order details before completing a transaction. By completing a purchase, the customer authorizes the applicable merchant, payment processor, and/or HelioPay to charge the selected payment method for the total amount shown at checkout, including applicable taxes, fees, shipping, or other charges.

HelioPay may display transaction information, order confirmations, receipts, or shop details, but the merchant remains responsible for the goods or services sold unless otherwise stated.

6. Payments, Fees, and Payouts

HelioPay may charge fees for use of the Service, including transaction fees, platform fees, processing fees, subscription fees, payout fees, chargeback fees, or other applicable charges.

Fees may be deducted from transaction proceeds, billed separately, or collected through another method made available by HelioPay.

Payout timing may vary depending on payment method, processor requirements, risk review, account status, chargeback exposure, fraud concerns, technical issues, bank processing times, or compliance obligations.

HelioPay may delay, suspend, reverse, withhold, or offset payouts where we believe it is necessary to protect HelioPay, customers, payment processors, financial partners, card networks, or other users.

7. Refunds, Cancellations, and Chargebacks

Merchants are responsible for setting and honoring their own refund and cancellation policies, provided those policies comply with applicable law and payment network rules.

HelioPay may process or facilitate refunds when authorized by the merchant, required by law, required by a payment processor, or determined necessary by HelioPay.

If a customer files a chargeback, payment dispute, reversal, retrieval request, or similar claim, the merchant is responsible for the disputed amount, associated fees, penalties, fines, processor costs, and any related losses.

HelioPay may deduct chargebacks, refunds, reversals, fees, or penalties from current or future payouts, account balances, or other amounts owed to the merchant.

8. Reserves and Risk Holds

HelioPay may establish a reserve, rolling reserve, payout hold, account limitation, or delayed settlement if we determine that an account, merchant, product, service, transaction pattern, or business model presents increased risk.

Reasons may include, but are not limited to:

  • High chargeback or refund rates.
  • Suspected fraud or unauthorized activity.
  • Violation of these Terms.
  • Unusual transaction volume.
  • Customer complaints.
  • Processor or bank requirements.
  • Legal, regulatory, or compliance concerns.
  • Inability to verify identity, ownership, business activity, or fulfillment.

Held funds may be used to cover refunds, disputes, chargebacks, fees, penalties, fines, or other liabilities.

9. Prohibited Activities

You may not use HelioPay for any unlawful, harmful, deceptive, or high-risk activity. Prohibited activities include, but are not limited to:

  • Fraud, scams, phishing, impersonation, or unauthorized transactions.
  • Money laundering, terrorist financing, sanctions violations, or illegal financial activity.
  • Sale of stolen goods, counterfeit goods, or unauthorized copyrighted material.
  • Illegal drugs, controlled substances, or drug paraphernalia.
  • Weapons, explosives, or regulated weapon accessories where prohibited.
  • Human trafficking, exploitation, harassment, abuse, or non-consensual content.
  • Products or services that violate applicable law or payment processor rules.
  • Misleading claims, fake reviews, deceptive pricing, or hidden fees.
  • Attempts to bypass HelioPay fees, security controls, risk systems, or compliance reviews.
  • Use of the Service to damage, overload, reverse engineer, scrape, disrupt, or compromise HelioPay systems.

HelioPay may reject, suspend, or terminate accounts, shops, listings, products, payments, or payouts connected to prohibited activity.

10. Verification and Compliance

HelioPay may require identity verification, business verification, tax information, ownership details, bank information, transaction documentation, proof of fulfillment, invoices, supplier records, or other information.

You agree to provide requested information promptly and accurately.

HelioPay may share information with payment processors, banks, compliance providers, fraud prevention vendors, regulators, law enforcement, or other parties when necessary to operate the Service, prevent fraud, comply with law, enforce these Terms, or protect users.

Failure to complete verification may result in account restrictions, payout holds, transaction limits, suspension, or termination.

11. Taxes

Merchants are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, assessments, and governmental charges related to their sales, payouts, income, products, or services.

HelioPay may provide transaction records or tax-related information, but HelioPay does not provide tax advice.

12. User Content and Shop Content

You retain ownership of content you upload, submit, display, or provide through HelioPay, including shop names, product descriptions, images, logos, text, files, and other materials “User Content.”

By using the Service, you grant HelioPay a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, process, transmit, and use your User Content as necessary to provide, improve, secure, promote, and support the Service.

You represent that you have all necessary rights to your User Content and that your User Content does not violate law, infringe intellectual property rights, or violate the rights of any person or entity.

HelioPay may remove or restrict User Content that violates these Terms or creates legal, financial, security, reputational, or operational risk.

13. Intellectual Property

HelioPay, including its software, platform, design, branding, logos, features, content, code, systems, and related materials, is owned by HelioPay or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, exploit, or create derivative works from any part of HelioPay except as expressly permitted by these Terms or applicable law.

No rights are granted to you except the limited right to use the Service in accordance with these Terms.

14. Third-Party Services

HelioPay may integrate with third-party processors, banks, wallets, APIs, hosting providers, analytics services, fraud tools, communication tools, shipping services, or other platforms.

HelioPay is not responsible for third-party services, their availability, terms, fees, errors, delays, security incidents, or actions. Your use of third-party services may be subject to separate terms and policies.

15. Service Availability

HelioPay aims to provide reliable service, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

The Service may be unavailable due to maintenance, updates, technical issues, outages, third-party failures, security incidents, compliance reviews, or events beyond our control.

HelioPay is not liable for losses caused by downtime, delays, errors, failed payments, failed payouts, unavailable shops, lost data, or interruptions, except where prohibited by law.

16. Privacy

Your use of HelioPay is subject to any privacy policy or data practices made available by HelioPay. By using the Service, you consent to the collection, use, storage, and disclosure of information as necessary to provide and operate the Service, process payments, prevent fraud, comply with law, and enforce these Terms.

You are responsible for complying with privacy and data protection laws that apply to your customers and business.

17. Account Suspension and Termination

HelioPay may suspend, restrict, or terminate your access to the Service at any time if we believe that:

  • You violated these Terms.
  • Your account creates legal, financial, security, compliance, reputational, or operational risk.
  • Your activity appears fraudulent, abusive, deceptive, or unlawful.
  • A payment processor, bank, network, regulator, or law enforcement agency requires or recommends action.
  • You fail to complete verification or provide requested information.
  • Your account is inactive or abandoned.

Upon termination, you must stop using the Service. Certain obligations will survive termination, including payment obligations, chargeback responsibility, indemnification, limitations of liability, dispute provisions, and any terms that by their nature should survive.

18. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, HelioPay disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

HelioPay does not guarantee that payments will be authorized, that payouts will occur by a specific date, that customers will not dispute transactions, or that the Service will meet your specific business needs.

19. Limitation of Liability

To the fullest extent permitted by law, HelioPay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business, reputational harm, payment delays, chargebacks, or business interruption.

To the fullest extent permitted by law, HelioPay’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

  • The amount of fees paid by you to HelioPay during the three months before the event giving rise to the claim; or
  • One hundred U.S. dollars.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless HelioPay, its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and partners from and against any claims, damages, losses, liabilities, costs, penalties, fines, chargebacks, fees, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the Service.
  • Your products, services, shop, listings, or customer transactions.
  • Your breach of these Terms.
  • Your violation of law or third-party rights.
  • Your fraud, negligence, misconduct, or unauthorized activity.
  • Your disputes with customers, merchants, processors, banks, or third parties.

21. Changes to the Service or Terms

HelioPay may update, modify, suspend, or discontinue any part of the Service at any time.

HelioPay may update these Terms from time to time. Updated Terms may be posted on the HelioPay website or otherwise made available. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Service.

22. Disputes

Before filing a formal claim, you agree to contact HelioPay at [email protected] and attempt to resolve the issue informally.

Any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the jurisdiction where HelioPay is legally organized, without regard to conflict of law principles, unless applicable law requires otherwise.

Any legal action must be brought in the courts located in that jurisdiction, unless applicable law requires a different venue.

23. No Class Actions

To the fullest extent permitted by law, disputes must be brought on an individual basis only. You may not bring a claim as a plaintiff or class member in a class, consolidated, collective, or representative action.

24. Force Majeure

HelioPay will not be liable for delays, failures, or interruptions caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, hosting outages, cyberattacks, payment network disruptions, government actions, legal changes, power failures, or third-party service failures.

25. Assignment

You may not assign or transfer these Terms or your account without HelioPay’s prior written consent.

HelioPay may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or change of control.

26. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

27. Entire Agreement

These Terms, together with any policies, notices, agreements, or additional terms incorporated by reference, make up the entire agreement between you and HelioPay regarding the Service and replace any prior agreements or understandings.
